Yutivo v. CTA Yutivo Sons Hardware Co, a domestic corporation incorporated in 1916 under Philippine laws, was engaged in the importation and sale of hardware supplies and equipment. After the first world war, it resumed its business and bought a number of cars and trucks from General Motors (GM), an American Corporation licensed to do business in the Philippines. Yutivo was at all time in control of the stock of SM and that the latter was a mere subsidiary of the former. Further, SM is under the management control of Yutivo by virtue of the management contract entered into between the two parties.
